Terms of Service

These terms govern access to Token Broker (the “Service”), an inference exchange operated by Indexsy Consulting Ltd. (“we”, “us”). By creating an account, buying credits, calling the API, or listing capacity, you agree to these terms, the Privacy Policy, and the Acceptable Use Policy.

1. The Service

Token Broker is a prepaid marketplace for large-language-model inference. Buyers send OpenAI-compatible requests. We route each request to a live offer — managed supply or a third-party seller — and settle per token. We do not disclose which party filled a request. The Service is not a bank, broker-dealer, or crypto exchange. Credits are prepaid inference entitlements, not a security, stored-value instrument, or interest-bearing balance.

2. Accounts

You must provide accurate business details and keep credentials secret. You are responsible for all activity under your account and API keys. We may refuse, suspend, or close an account if we reasonably believe these terms or the AUP have been violated, if payment fails, or if required by law. We may add, remove, or reprice models at any time.

3. Buyer credits

  • Credits are purchased in USD. Canadian buyers are charged GST/HST. Non-resident businesses may be zero-rated if a valid tax ID is on file.
  • Top-ups are $10–$200 per transaction for accounts under 30 days old, and up to $2,000 thereafter.
  • Each request reserves estimated cost, then settles from reported token usage. Unused reservation is released.
  • Credits are non-transferable and not redeemable for cash. They expire after 12 months of account inactivity.
  • Refunds, if any, go to the original payment method within 24 hours of purchase for the unused portion only. After that, purchases are final except where required by law.

4. Pricing and routing

The price you pay is the buyer-effective price shown at fill time (seller ask plus our spread). Public /markets prices are indicative and can move. We pick among healthy offers; we do not guarantee the globally lowest possible upstream cost, a particular provider, latency, or context window beyond what the winning offer advertises. If every candidate fails, you are not charged for that request.

5. Sellers

Sellers apply, connect an allowlisted endpoint, and list per-model asks. You represent that you have the right to supply that capacity, that your keys and endpoints are yours to use, and that filling traffic will not breach a third-party contract, export rule, or acceptable-use policy. We may pause, reprice-cap, or delist offers, run canaries, and withhold or reverse payables for failed, fraudulent, or self-dealing fills. Payouts batch in USDC on Base, subject to a 72-hour wallet lock, a $25 minimum, and any reserve held against your tier. Payouts are operator-executed; timing is commercially reasonable, not a guaranteed SLA.

6. Your content

Prompts, completions, and embeddings are yours (or your end users’). We process them only to route, meter, bill, secure, and debug the Service. We do not use customer prompts to train foundation models. You grant us a limited licence to transmit requests to the filling party. You are responsible for having the rights to the inputs you send and for your downstream use of outputs. Model outputs can be wrong; do not rely on them as professional advice.

7. Acceptable use

You must follow the Acceptable Use Policy. We may block requests, keys, or accounts that appear to violate it, and we may preserve data where we believe we are legally required to.

8. Confidentiality of the book

Offer identities, health scores, endpoint URLs, and the mapping from a fill to a seller or managed source are our confidential information. You will not probe, scrape, or fingerprint the Service in order to deanonymize supply, bypass spread, or resell raw access to our upstreams.

9. IP

We own the Service, brand, docs, and software. You own your account data and content. Feedback you send may be used without obligation.

10. Availability

The Service is provided “as is”. Inference depends on third-party models and sellers we do not control. We do not warrant uninterrupted uptime, any particular model quality, or that a listed model will remain listed.

11. Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, tokens, or data. Our total liability arising out of the Service is limited to the fees you paid us for the Service in the three months before the claim. Some jurisdictions do not allow certain exclusions; in that case they apply only to the extent permitted.

12. Indemnity

You will indemnify Indexsy Consulting Ltd. and its directors against claims arising from your content, your use of outputs, your listed capacity, or your breach of these terms or the AUP.

13. Changes and termination

We may update these terms by posting a new version. Continued use after the effective date is acceptance. You may close your account by emailing desk@thetokenbroker.ai. Unused credits are forfeited on closure unless a refund is required by law. Surviving sections: 3 (as to already purchased credits), 6–12, 14.

14. Law

These terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Exclusive venue is the courts in Vancouver, British Columbia. If you are a consumer with non-waivable local rights, those rights still apply.
